Jerold N. Siegan, Esq., is a highly experienced securities and corporate attorney and co-founder and partner of the Fund. For more than 30 years he has actively practiced law in mid-sized law firms with a focus on SEC registered securities offerings, and exempt securities offerings, including private placements, SEC regulatory compliance, and general business transactions. In 2015, he founded the office of Jerold N. Siegan Law, Chicago.
Jerry started his career as an attorney, with U.S. Securities and Exchange Commission, Division of Corporation Finance, Washington D.C. During his tenure at the SEC, he was designated as a Senior Attorney. He was assigned to review, analyze and issue staff interpretations regarding tender offer filing made under Section 14(d) and beneficial ownership filings made under Section 13(d) of the Securities Exchange Act of 1934 (“Exchange Act”). In 1974, he was appointed Associate Counsel for the SEC’s Public Hearings in the Matters of Beneficial Ownership, Takeovers and Acquisitions by Foreign and Domestic Persons. He authored the SEC’s written interpretations regarding tender offer transactions and co-authored the SEC’s rules governing Going Private Transactions and amendments to the rules adopted under Exchange Act Section 13(d) regarding beneficial ownership matters.
In 1991, he co-founded FaxSav Incorporated (formerly Digitran Corporation), a global business-to-business facsimile transmission services company that used proprietary software that enabled its customers to send and receive faxes at significantly lower rates than the rates charged by public telephone service providers. In 1992, he served as special securities counsel in the landmark Chapter 11 reorganization case of Standard Oil and Exploration of Delaware, Inc. for which he developed a structure to enable debtor-in-possession (“DIP”) to raise DIP debt financing that was exchangeable for equity in the post- Chapter 11 entity. Also, he registered the post Chapter 11 entity with the SEC and successfully listed its equity securities on NASDAQ. In 2005. he co-founded R.E. Solutions LLC, a real estate financing fund that provided financing for real estate transactions that were secured by the client’s unencumbered assets.
He has been named in the Illinois Super Lawyers list in Securities and Corporate Finance since 2005. He the recipient of the Illinois secretary of State’s Public service Award for co-authorizing amendments to the Illinois securities Law. He has been a frequent lecturer regarding securities offerings and compliance at various seminars, including U.S. securities laws compliance involving capital raises funded by EB-5 foreign (Immigration) investors. He has numerous various articles and publications regarding the application of and compliance with the U.S. securities laws.
